Mullen Group Ltd. Announces Full Exercise of $15.0 Million Over-Allotment Option in Connection with Bought Deal Offering of 5.75% Convertible Debentures

OKOTOKS, AB, June 21, 2019 /CNW/ - (TSX:MTL)  Mullen Group Ltd. ("Mullen Group" and/or the "Corporation") announced today that the underwriters of its offering (the "Offering") of 5.75% convertible unsecured subordinated debentures (the "Debentures") have exercised in full their over-allotment option to purchase an additional $15,000,000 aggregate principal amount of Debentures. The Debentures have an interest rate of 5.75% per annum, payable semi-annually on the last day of November and April, commencing on November 30, 2019 and mature on November 30, 2026.

Mullen Group initially issued $110,000,000 aggregate principal amount of Debentures in connection with the Offering earlier today. Upon closing of the over-allotment option, Mullen Group will have issued a total of $125,000,000 aggregate principal amount of Debentures pursuant to the Offering. The closing of the over-allotment option is expected to occur on or about June 25, 2019.

The Offering was led by a syndicate of underwriters consisting of RBC Dominion Securities Inc., CIBC World Markets Inc. and Scotia Capital Inc., as co-lead underwriters, and also included TD Securities Inc., National Bank Financial Inc., Raymond James Ltd., Industrial Alliance Securities Inc. and Peters & Co. Limited.
